1. Introduction
These Terms of Service ("Terms") govern your use of the Arktera Systems website and the general terms under which you may interact with our business.
Arktera Systems ("Arktera," "we," "our," or "us") helps service businesses identify and address problems affecting revenue, profitability, client conversion, retention, and operational performance.
We work from the business problem outward. Depending on the circumstances, an appropriate solution may involve strategy, marketing, conversion improvement, sales processes, websites, customer relationship management systems, automation, analytics, operational improvements, or other interventions.
Not every business problem requires a new website, additional marketing, a CRM, or automation. The appropriate approach depends on the business, its objectives, and the issues identified.
By using our website, you agree to use it lawfully and in accordance with these Terms. If you do not agree, please discontinue use of the website.
Additional terms may apply when you engage Arktera for paid services.
2. Our Services
Arktera may provide services including:
- Business growth assessments and preliminary business reviews.
- Revenue systems analysis and strategy.
- Marketing and customer acquisition strategy.
- Website strategy and development.
- Conversion rate improvement.
- Inquiry management and sales-process improvement.
- CRM planning, configuration, and implementation.
- Workflow and AI-assisted automation.
- Analytics, reporting, and performance measurement.
- Client retention, referral, and operational improvement initiatives.
The services available to a particular client will depend on the business problem, agreed scope, our capabilities, and the terms of the relevant engagement.
The publication of a service or topic on our website does not guarantee that Arktera will offer it in every engagement.
3. Website Content and Business Information
Our website may contain articles, explanations, frameworks, examples, and other information intended to help business owners think more clearly about revenue and business performance.
This material is provided for general informational purposes. It is not a substitute for a detailed assessment of your business or for professional legal, tax, accounting, investment, or other regulated advice.
Business conditions differ. An approach that is appropriate for one organization may be unsuitable for another.
You are responsible for evaluating information in the context of your own circumstances and obtaining specialist advice where necessary.
4. Free Business Growth Assessment
Arktera may offer a Free Business Growth Assessment to help us understand your objectives, challenges, and current business performance.
The assessment is an initial information-gathering process. It may help identify potential constraints or areas that deserve closer investigation.
Submitting an assessment does not automatically entitle you to:
- A comprehensive business audit.
- A definitive diagnosis of the underlying cause of a problem.
- A written report.
- A complete strategy or implementation plan.
- A particular consultation or number of consultations.
- Implementation of any recommended solution.
- A guaranteed business result.
The exact next step will depend on the information provided and the nature of your request.
Where further investigation or paid work is appropriate, we will explain the proposed scope and any applicable fees before proceeding.
You are responsible for ensuring that the information you submit is accurate to the best of your knowledge and that you are authorized to provide it.
Do not submit passwords, payment-card information, confidential records belonging to your clients, or sensitive personal information that is unnecessary for the assessment.
5. Proposals and Client Engagements
Any paid engagement will be subject to a written proposal, statement of work, service agreement, or other written confirmation accepted by the parties.
The relevant agreement should specify, as appropriate:
- The services and deliverables.
- Project objectives and scope.
- Fees, payment schedules, and applicable taxes.
- Timelines and milestones.
- Client responsibilities and dependencies.
- Revisions, change requests, and additional work.
- Ownership or licensing of deliverables.
- Confidentiality and data-handling obligations.
- Cancellation, termination, and refund arrangements.
- Any applicable liability limitations or dispute-resolution provisions.
If these Terms conflict with a signed client agreement concerning a specific paid engagement, the client agreement will govern that engagement to the extent of the conflict, subject to applicable law.
No paid engagement begins solely because you submitted a website form or participated in a preliminary discussion. The engagement must be accepted and documented through an appropriate process.
6. Fees, Payments, and Additional Costs
Fees for paid services will be stated in the relevant proposal or written agreement.
Unless the applicable agreement states otherwise, additional work outside the agreed scope requires approval before it begins.
Third-party costs, including software subscriptions, hosting, advertising spend, licences, and other external charges, will be allocated as specified in the relevant agreement.
Payment dates, accepted currencies, applicable taxes, late-payment consequences, cancellation rights, and refund arrangements will be stated in the relevant agreement.
No statement in these Terms removes any refund, cancellation, or other right that cannot lawfully be excluded.
7. Client Responsibilities
To enable Arktera to perform agreed work, you may be required to:
- Provide accurate and reasonably complete information.
- Explain your business objectives and constraints.
- Supply materials and access permissions necessary for the agreed work.
- Ensure that you have the rights and permissions required to share those materials.
- Respond to questions and review deliverables within agreed timeframes.
- Appoint an appropriate person to make decisions and provide approvals.
- Maintain appropriate access controls and security for your own systems.
- Review proposed changes and confirm their suitability before implementation where required.
Delays, inaccurate information, missing approvals, or unavailable third-party systems may affect project scope, timing, or results.
We will communicate material dependencies and seek to address issues in accordance with the relevant agreement.
8. Intellectual Property
8.1 Arktera's Existing Materials
Unless otherwise agreed in writing, Arktera retains ownership of its pre-existing methodologies, frameworks, processes, templates, tools, know-how, and other materials developed independently of a particular client engagement.
These materials may be used to deliver services to other clients, provided Arktera respects its confidentiality obligations and any applicable intellectual property rights.
8.2 Client Materials
You retain ownership of materials and information that you own and provide to Arktera.
You grant Arktera permission to use those materials only to the extent reasonably necessary to assess your request or perform the agreed services, subject to the applicable agreement and privacy obligations.
8.3 Project Deliverables
Ownership and permitted use of deliverables created specifically for a client will be defined in the relevant written agreement.
The agreement may distinguish between bespoke deliverables, pre-existing Arktera materials, third-party components, software, and other licensed resources.
Payment for a project does not automatically transfer ownership of every underlying tool, framework, reusable component, or third-party asset involved in its creation.
8.4 Website Content
Unless otherwise stated, Arktera owns or has permission to use the content published on its website, including its written material, branding, graphics, and original frameworks.
You may not reproduce, republish, distribute, or commercially exploit protected material without permission, except where applicable law allows it.
9. Third-Party Tools and Services
Arktera may use or recommend third-party software and services, including hosting providers, analytics tools, CRM platforms, automation services, and AI tools.
Third-party services are subject to their own terms, privacy policies, availability, and technical limitations.
Unless a separate written agreement states otherwise, Arktera does not control the independent operations or policies of third-party providers.
Where a client engagement depends on a third-party service, the relevant agreement should identify the responsibilities for subscriptions, licences, access, configuration, and ongoing maintenance.
We will not treat a third-party product as suitable for every business merely because it is available or commonly used.
10. Results and No Guarantee
Arktera's work is intended to help businesses understand their challenges, improve their systems, and make better commercial decisions.
However, business outcomes depend on many factors, including market conditions, pricing, demand, competition, operational capacity, client behaviour, implementation quality, and decisions made by the business.
Unless an explicit written agreement states otherwise, Arktera does not guarantee a particular level of revenue, profit, inquiries, sales conversion, client retention, referrals, cost savings, or other commercial results.
Any examples, projections, estimates, or illustrations should not be treated as a promise of future performance.
We will aim to perform agreed services with reasonable care and in accordance with the applicable agreement. Nothing in these Terms excludes a legal responsibility that cannot lawfully be excluded.
11. Acceptable Use
You agree not to use our website or services to:
- Violate applicable law or the rights of others.
- Submit information that you are not authorized to disclose.
- Attempt to gain unauthorized access to our website, systems, or accounts.
- Introduce malicious code or interfere with website security or operation.
- Use our website to distribute unlawful, deceptive, or harmful material.
- Misrepresent your identity, authority, or business.
- Copy or exploit our protected materials in violation of applicable rights.
We may restrict or suspend access where reasonably necessary to protect our systems, users, business, or legal interests, subject to applicable law.
12. Website Availability and Disclaimers
We aim to keep our website useful and accessible, but we do not guarantee that it will always be available, uninterrupted, error-free, or compatible with every device or system.
We may update, modify, remove, or discontinue website features and content.
To the extent permitted by applicable law, website content is provided on an informational basis without a guarantee that it will be suitable for every purpose or circumstance.
Nothing in this section excludes any mandatory consumer or other legal protection that applies to you.
13. Limitation of Liability
The extent to which liability may be limited or excluded depends on the applicable law, the nature of the claim, and the circumstances of the relationship.
Nothing in these Terms excludes or restricts liability, rights, or remedies where doing so would be unlawful.
Any additional limitations, exclusions, or liability caps for paid services should be expressly stated in the relevant written client agreement and reviewed for enforceability in the applicable jurisdictions.
We do not intend these Terms to remove rights that applicable law makes mandatory.
14. Confidentiality and Privacy
Information you submit through our website or assessment forms will be handled in accordance with our Privacy Policy and applicable law.
Where a client engagement involves commercially sensitive information, the parties should observe any confidentiality provisions in the relevant written agreement.
You should not submit information that you are not authorized to disclose or that is unnecessary for the relevant request or service.
Any additional obligations concerning personal data, security, confidentiality, or data processing may be documented separately where required.
15. Suspension and Termination
Website access may be restricted or suspended where reasonably necessary for security, legal compliance, maintenance, or prevention of misuse.
The cancellation or termination of a paid engagement, including any notice requirements, fees due, treatment of work in progress, and transition obligations, will be governed by the relevant written agreement and applicable law.
Termination does not remove obligations that are intended to continue, such as outstanding payment obligations, confidentiality, intellectual property provisions, or rights and responsibilities that survive under applicable law or the agreement.
16. Events Beyond Reasonable Control
A party will not be responsible for a delay or failure to perform an obligation to the extent caused by circumstances beyond its reasonable control, subject to applicable law and the relevant agreement.
Examples may include significant service outages, natural disasters, government restrictions, widespread infrastructure failures, or other events that could not reasonably be prevented.
The affected party should notify the other party where reasonably practicable and take reasonable steps to reduce the impact.
This section does not automatically excuse payment obligations for services already delivered or override any mandatory legal rights.
17. Changes to These Terms
We may update these Terms to reflect changes in our services, website, business practices, or legal obligations.
The latest version will be published on this page with an updated revision date.
Where a change materially affects an existing paid engagement, the applicable written agreement and relevant law will determine how that change may be made.
Continued website use after an updated version is published may indicate acceptance where legally effective, but will not override requirements for express consent or agreement where those are required.
18. Governing Law and Dispute Resolution
Arktera intends to serve clients internationally. The law governing a particular engagement and the forum for resolving a dispute may depend on the parties, the nature of the transaction, the applicable agreement, and mandatory legal requirements.
For paid engagements, the governing law, dispute-resolution process, and appropriate forum should be stated in the relevant written agreement.
Any general governing-law provision for website use must be finalized after Arktera confirms its legal business details and intended contracting arrangements. It must not be interpreted as removing mandatory consumer protections or other rights that apply under the law.
Nothing in these Terms prevents a party from exercising rights that cannot lawfully be waived or restricted.
19. General Provisions
If a provision of these Terms is found to be unenforceable, the remaining provisions will continue to apply to the extent permitted by law.
A failure to enforce a provision on one occasion does not necessarily waive the right to enforce it later.
These Terms, together with the applicable Privacy Policy and any relevant written client agreement, form the general framework for website use and Arktera's services.
A separate written agreement may establish additional terms for a particular engagement.
